Payment Terms

General

These Payment Terms describe your agreement to pay for current and future goods and services, together with any charges or fees applied by us related to goods or services. In these Payment Terms, ‘we’ and ‘us’ mean the Tesla group entity supplying the goods and services in your country.

In order to use certain services, such as one-time payments, recurring payments and subscriptions, you allow Yuun to store, maintain, and recover funds from your specified payment method in accordance with these Payment Terms. Yuun may amend these terms from time to time and any changes are effective when posted to this page.

When you add a payment method to your Yuun Account, such as a credit card, certain information including, but not limited to device location, device identification number, and card information may be sent to Yuun and shared with our payment processor. Card information is encrypted during the transmission and Yuun will not have access to the actual card number. When the stored payment method or a new credit card is used for purchasing goods and services on a Yuun hosted website or application, the necessary information to process payment will be shared with our global processors and our banking partners, to process your payment, comply with financial regulations, to prevent fraud, and for troubleshooting any payment issues. When you pay using your bank account details, those details are stored by Yuun in an encrypted format that prevents unauthorized access without specific permissions. You must maintain at least one valid payment method in your Yuun Account. Any services received may result in charges being applied to your saved payment method, and charges may include taxes as required by law. Your failure to maintain accurate, complete, and up-to-date payment information, including an invalid or expired payment method, may result in your inability to access or use services.

When you request a bank payment such as an Automated Clearing House (ACH) or Pre-Authorized Debit (PAD) payment transfer, and where required by law, we will inform you at least three days before the initial payment due date, and up to one day before payment is collected. You may amend or cancel this authorization at any time by providing us with thirty (30) days’ notice. You have certain recourse rights if any debit does not comply with this agreement, such as the right to receive reimbursement in the event of an unauthorized debit inconsistent with these terms. To obtain more information on your recourse rights, contact your financial institution.

For charges that support automatic or recurring payments, you understand that your payment method will be charged each time your service automatically renews at the end of the prescribed period, unless turned off at least twenty-four (24) hours prior to the end of the current billing period. You can manage or turn off automatic payments in your Yuun Account at any time.

In the event that any attempt to recover funds from you should fail using the payment method saved in your Yuun Account, you agree to allow Yuun to recover all or less than all of the amount owed for goods or services as set out in this clause. If we are unable to collect payment, we may contact you based on your information on file or may request payment when we are performing services for you. If you violate these Payment Terms, such as by not paying past due and unchallenged amounts, we may hold your order until payment issues are resolved.

1. Installation Kit Configuration: The Configuration will be confirmed with you at a later date. It will describe the devices that you configure, including pricing (excluding taxes and official or government fees).

2. Final Price Sheet: The Final Price Sheet will be provided to you as your delivery date nears. It will include final pricing based on your Devices Configuration and will include taxes and official or governmental fees.

3. Terms & Conditions: These Terms & Conditions are effective as of the date you place your pre-order and make your Pre-Order Payment (the “Pre-Order Date”).

Agreement to Purchase. You agree to pre-order the installation kit that you configured when you made your Pre-Order Payment and by taking delivery, completing the transaction when the installation kit is ready for delivery from Yuun LLC. or its affiliate (“we,” “us” or “our”), pursuant to the terms and conditions of this Agreement. Your installation kit is priced and configured based on features and options available at the time of order and you can confirm availability with a Yuun representative. Options, features or hardware released after you place your order may not be included in or available for your installation kit.

Pre-Order Price, Taxes and Official Fees. The pre-order price of the installation kit will be confirmed in your device Configuration and Final Price Sheet. As you may have only configured part of your devices, any pre-order price provided to you in advance of the Final Price Sheet is only being offered to you as an estimate and is subject to change. Any pre-order price listed in the installation kit configuration will not include taxes and official or government fees, which could amount to up to 10% or more of the installation kit pre-order price. Because these taxes and fees are constantly changing and will depend on many factors, they will be calculated closer to the time of delivery and indicated on your Final Price Sheet. You are responsible for paying these additional taxes and fees. If you present a check for any payment, we may process the payment as a normal check transaction, or we may use information from your check to make a one-'me electronic fund transfer from your account, in which case your bank account will reflect this transaction as an Electronic Fund Transfer.

Pre-Order Process; Cancellation; Changes. After you submit your completed pre-order and the options you selected become available in production, we will invite you to complete the configuration of your installation kit. We will then issue you the installation kit Configuration and Final Price Sheet based on the base price of the model and any options included or that you select. Your Pre-Order Payment covers the cost of these activities and other processing costs and is not a deposit for the installation kit. Untilyour installation kit is delivered to you, you may cancel your pre-order at anytime, in which case you will receive a full refund of your Pre-Order Payment. Until your final configuration is matched to a installation kit, you may make changes to your installation Configuration. If you make changes to the configuration of the installation kit, you may be subject to potential price increases for any pricing adjustments made since your original Pre-Order Date. Any changes made by you to your installation kit Configuration, including changes to the delivery location or estimated delivery date, will be reflected in a subsequent installation kit Configuration that will form part of this Agreement. When you take delivery of the installation kit, we will provide a credit to the final pre-order price of your installation kit equivalent to the amount of the Pre-Order Payment you paid. This Pre-Order Payment and this Agreement are not made or entered into in anticipation of or pending any conditional sale contract. Your actual delivery date is dependent on many factors, including your installation kit’s configuration and manufacturing availability. To secure your final payment and performance under the terms of this Agreement, we will retain a security interest in the installation kit and all proceeds therefrom until your obligations have been fulfilled.
